Notice to HKTA members re change of charter

Since the launch of the new accreditation program (which confers a Certified Trust Practitioner designation to individuals meeting all requirements) as well as the Trust Training Course in 2018, the Hong Kong Trustees' Association has, among other achievements, successfully developed talent within the trust and fiduciary services industries in Hong Kong in a systematic manner and encouraged new entrants to the industry. Many of the abovementioned talents and new entrants have since joined the Association to become its members and we see the need to enhance the current membership structure of the Association to reflect the changing membership demographic and to ensure that rights of members are protected.
The proposed changes to the membership structure of the Association, can be summarized as follows:
1. Members would be divided into 2 classes, being "Individual Members" or "Corporate Members";
2. An applicant that is a body corporate shall apply to be a Corporate Member and an applicant
who is an individual shall
apply to be an Individual Member;
3. Individual Members and Corporate Members would generally have the same rights and
obligations except for the
followings:
- A Corporate Member may authorize such person as it thinks fit to act as its
representative, whereas an Individual
Member must act for himself;
- An Individual Member who is an employee or officer of a Corporate Member shall be
entitled to vote for a Corporate
Member only if he is the duly authorized representative
of the Corporate Member and is also authorized to vote on
behalf of the Corporate Member;
- Not less than 75% of the Executive Committee of the Association shall be composed of Corporate Members; and
- Individual Members or representatives of Corporate Members will only be eligible for
nomination as an Executive
Committee member if he has, for at least 12 months prior to
his candidacy or nomination, participated actively and
contributed positively as a member
of a subcommittee of the Association.
The above proposed changes would require a change to the Articles of Association which shall be subject to the voting of all Members at the Annual General meeting on 9 January 2020. We have prepared the summary of changes to the Articles of Association for your reference which is set out in the Appendix
